AI ADDENDUM

YOU HEREBY AGREE THAT THE TERMS OF THIS AI ADDENDUM SHALL BE IN ADDITION TO (AND NOT IN LIEU OF) LIGHTRUN’S TERMS AND CONDITIONS OF SERVICE AND END USER LICENSE AGREEMENT (THE “TOS”) THAT GOVERN YOUR ACCESS TO AND USE OF LIGHTRUN PRODUCTS AND SERVICES.

All capitalized terms used but not defined herein shall have the meanings ascribed to such terms in the TOS.

TO THE EXTENT ANY ORDER FORM BETWEEN YOU AND LIGHTRUN INCLUDES ANY ARTIFICIAL INTELLIGENCE PRODUCTS AND/OR SERVICES WHICH MAY BE INTEGRATED OR OTHERWISE PROVIDED BY LIGHTRUN AND/OR A THIRD PARTY (COLLECTIVELY, THE “AI TOOLS”), YOU AGREE THAT THIS AI ADDENDUM SHALL APPLY. THE TERMS HEREIN GOVERN YOUR USE OF SUCH AI TOOLS. ADDITIONALLY, YOU ACKNOWLEDGE THAT LAWS GOVERNING THE USE OF THE AI TOOLS MAY CHANGE AND LIGHTRUN MAY, AT ANY TIME, IN LIGHTRUN’S SOLE DISCRETION, LIMIT, MODIFY OR OTHERWISE DISCONTINUE USE OF THE AI TOOLS.

Each Order form shall set forth all applicable commercial (including without limitation) billing and payment, terms applicable to your use or other access of the AI Tools. You acknowledge and agree that if you choose to use your own Large Language Model (“LLM”) in connection with your receipt of Services from Lightrun, Lightrun shall not be responsible for such use (including without limitation, any configuration, functionality, vulnerability or any other failure to operate as intended) with respect to use of your LLM.

Without limitation of the foregoing and/or anything set forth herein, in the TOS, and/or any Order Form, you acknowledge and agree that, if/as applicable, your use of the AI Tools is subject to the following terms and conditions https://openai.com/policies/row-terms-of-use/ (the “Policies”) and you hereby agree to comply with the Policies. Except as otherwise set forth in such Policies, you acknowledge and agree, that as between you and Lightrun, Lightrun is the owner of the AI Tools. Additionally, for the avoidance of doubt, you acknowledge and agree that any and all data and materials used or otherwise processed by Lightrun in connection with the AI Tools (including, without limitation, prompts), shall be (as between you and Lightrun) the proprietary property of Lightrun pursuant to Section 6 of the TOS. In the event of any conflict between the terms and conditions in this AI Addendum and/or the TOS, and the terms and conditions set forth in any Policies, the Policies shall govern.

Without limitation of the license grant set forth in Section 2.4 of the TOS, you hereby grant to Lightrun, a perpetual, irrevocable, royalty-free, and fully paid-up right to use and otherwise exploit in any manner the Feedback and other data and Content for purposes of providing you the AI Tools (and you agree that Lightrun may share any such information on an anonymized basis with third party customers or service providers). You acknowledge and agree that, in order to perform the Services pursuant to each applicable Order Form, Lightrun shall have the right to share your Content and any related data with the applicable third party provider of the AI Tool(s).

Notwithstanding anything herein or in the TOS to the contrary, you acknowledge and agree that the AI Tools, by their nature, may provide inaccurate, incomplete or irrelevant information, generate outputs that are harmful, violative of law, or otherwise, that are not fit for use. You are responsible, prior to use or reliance upon any such output, to evaluate the accuracy and appropriateness of any output, including by using human review of such output.

For the avoidance of doubt, you acknowledge and agree that the Disclaimer of Warranties and Limitation of Liability set forth in Sections 8 and 9 of the TOS, shall apply to your use of AI Tools.
